Terms of Service
Effective October 23, 2026
In short: Ordenra helps you organize your team, prepare payroll and track deadlines. You stay responsible for paying your employees, your tax filings and the accuracy of what you enter. Ordenra does not move money or file taxes for you.
1. Who we are and these terms
Ordenra ("Ordenra", "we", "us") provides a web application for scheduling, time tracking, payroll preparation, reminders and related business tools (the "Service"). These Terms of Service ("Terms") are an agreement between us and the business or person that creates an account (the "Customer", "you"). By creating an account or using the Service, you agree to these Terms. If you use the Service for a company, you confirm you are allowed to accept these Terms for it.
2. Accounts and access
- You must give accurate information and keep your password private. You are responsible for activity under your company's accounts.
- Company owners and administrators decide who is invited and what role each person has. Employees invited by a company use the Service on that company's behalf.
- Tell us right away at support@ordenra.com if you think an account has been accessed without permission.
3. What the Service does and does not do
- Payroll figures are estimates for your review. Ordenra calculates gross pay, estimated tax withholding and deductions from the information and rates you enter. Tax tables and rules change; you must review every amount before paying anyone.
- Ordenra is not a payroll provider, bank or tax service. We do not pay employees, hold funds, deposit or file taxes, or issue official W-2 or 1099 forms. Year-end records and exports are for your records and for filing through official channels or your payroll provider.
- No legal, tax or accounting advice. Information in the Service, including the AI help assistant, is general guidance about using Ordenra. Ask a qualified professional about worker classification, wage and hour law, overtime and taxes.
- When you export payroll to another provider (for example Gusto or QuickBooks), that provider's terms apply to what happens there.
4. Your responsibilities
- Enter accurate information and keep it current, including pay rates, worker classification, work state and tax settings.
- Comply with the laws that apply to you, including wage and hour, tax, privacy and employment laws, and get any notices or consents needed to put your employees' information into the Service.
- Do not misuse the Service: no unlawful content, no attempts to access other companies' data, no interfering with the Service, and no reselling it without our written permission.
5. Your data
You own the data you and your team put into the Service ("Customer Data"). You allow us to host, process and display it only to provide, secure and support the Service, as described in our Privacy Policy. You can export your data at any time from the Service. We do not sell Customer Data.
6. Plans, billing and cancellation
- New companies get a 14-day free trial. When it ends, the company's workspace is paused until an owner chooses a paid plan. Data is kept during the pause and is available again as soon as a plan is active.
- Paid plans are billed in advance through our payment processor, Stripe, on the schedule shown at checkout. Prices exclude taxes unless stated.
- Subscriptions renew automatically until cancelled. You can cancel from Settings → Subscription & billing; access continues until the end of the paid period. Except where the law requires, payments are not refunded.
- Plan limits (such as the number of employees) are part of your plan. If you go over, we will work with you to move to the right plan.
- We may change prices with at least 30 days' notice before your next renewal.
7. Availability and changes
We work to keep the Service available and secure, but it may sometimes be interrupted for maintenance or reasons outside our control. We may improve or change features. If we stop offering the Service, we will give reasonable notice so you can export your data.
8. Suspension and termination
You may stop using the Service at any time. We may suspend or end access if you break these Terms, do not pay, or use the Service in a way that risks harm to others. After an account ends, we may delete Customer Data after a reasonable period, as described in the Privacy Policy.
9. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that calculations, reminders or notifications will be error-free or delivered on time.
10. Limitation of liability
To the fullest extent the law allows, Ordenra will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, penalties, interest or tax assessments, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amounts you paid us in the 12 months before the claim.
11. Indemnity
You agree to defend and hold Ordenra harmless from claims arising from your Customer Data, your payroll and employment decisions, or your breach of these Terms or the law.
12. General
These Terms are governed by the laws of the state where Ordenra is organized, without regard to conflict-of-law rules. If any part of these Terms is found unenforceable, the rest stays in effect. We may update these Terms; for material changes we will notify account owners by email or in the Service at least 30 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.
